Terms of Service – Iron Meadow Holdings LLC (DBA "Load Network")

These Terms of Service (“Terms”) govern your access to and use of the Load Network platform, website, mobile applications, training programs, load board services, memberships, and related products or services (collectively, the “Services”) operated by Iron Meadow Holdings LLC (“Load Network,” “Company,” “we,” “our,” or “us”).
By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, do not use the Services.

Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. By registering for an account, you represent and warrant that all information provided is accurate, current, and complete.

Technology Platform Only
Load Network is a technology and educational platform only.
Iron Meadow Holdings LLC is not a freight broker, carrier, shipper, dispatcher, motor carrier, insurer, lender, financial institution, or employer unless explicitly stated otherwise in writing.
We do not transport freight, guarantee loads, verify carriers or brokers, guarantee payments, or participate directly in transportation transactions between users.
All users are solely responsible for:
• Verifying brokers, shippers, carriers, and loads
• Maintaining proper licensing, authority, insurance, and compliance
• Conducting their own due diligence
• Following all local, state, and federal transportation laws and FMCSA regulations
Use of the platform and all business decisions are at your own risk.

Educational Content Disclaimer
All training materials, videos, audio lessons, presentations, templates, and educational resources are provided for informational and educational purposes only.
We do not guarantee:
• Business success
• Freight availability
• Revenue generation
• Profitability
• Financing approval
• Insurance approval
• Broker relationships
• Carrier partnerships
• Operational outcomes
Individual results vary significantly based on market conditions, effort, experience, capital, compliance, and business decisions.

Account Responsibility
You are responsible for:
• Maintaining the confidentiality of your account credentials
• All activity under your account
• Keeping your information accurate and updated
We reserve the right to suspend, restrict, or terminate accounts at our sole discretion for fraud, abuse, unauthorized sharing, chargebacks, suspicious activity, misuse of the platform, or violations of these Terms.

Subscription Billing & No Refund Policy
Certain Services may require paid subscriptions or memberships.
By purchasing a subscription or digital product, you authorize recurring billing according to your selected plan until canceled.
Due to the instant-access nature of digital products, training programs, downloadable resources, memberships, and educational materials, all purchases are final and non-refundable unless otherwise required by law.
Failure to pay may result in immediate suspension or termination of access.

Intellectual Property
All platform content, branding, training materials, software, graphics, videos, presentations, audio lessons, logos, trademarks, and related intellectual property are owned by Iron Meadow Holdings LLC or its licensors and are protected under applicable copyright and intellectual property laws.
You may not:

• Reverse engineer

• Create derivative works from any content without prior written consent.
Unauthorized sharing of course content or account access may result in permanent account termination and legal action.

You agree not to:

• Submit false or misleading information
• Spam users or brokers
• Upload malware or harmful code
• Interfere with platform operations
• Circumvent security measures
• Use the Services for unlawful activity
• Impersonate other individuals or companies
• Abuse support systems or partnerships
We reserve the right to investigate and take legal action against violations.

Third-Party Services & Partnerships
Load Network may reference or connect users with third-party services including:
• Factoring companies
• Financing providers
• Fuel card programs
• Insurance providers
• Carriers
• Brokers
• Technology partners
Iron Meadow Holdings LLC does not control or guarantee third-party services, pricing, approvals, safety, legality, performance, or outcomes.
Any agreements or relationships formed with third parties are solely between you and the applicable provider.

Limitation of Liability
To the maximum extent permitted by law, Iron Meadow Holdings LLC, Load Network, its owners, employees, contractors, affiliates, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from:
• Use of the Services
• Business losses
• Freight disputes
• Payment disputes
• Broker or carrier conduct
• Training outcomes
• Downtime
• Data loss
• Missed opportunities
• Accidents
• Regulatory violations
• Financial losses
Our total liability for any claim shall not exceed the amount paid by you to Load Network during the twelve months preceding the claim.

Indemnification
You agree to defend, indemnify, and hold harmless Iron Meadow Holdings LLC and its affiliates from any claims, liabilities, damages, losses, costs, or legal expenses arising from:
• Your use of the Services
• Your transportation activities
• Violations of law
• Violations of these Terms
• Disputes with brokers, carriers, shippers, drivers, or third parties

Service Availability
We do not guarantee uninterrupted access to the platform or Services.
Features, partnerships, training content, pricing, and functionality may change at any time without notice.
We reserve the right to modify, suspend, or discontinue any portion of the Services at our sole discretion.

Governing Law
These Terms shall be governed by and interpreted under the laws of the State of Florida, without regard to conflict of law principles.
Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Florida.

Updates to Terms
We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.
